CONSTITUTION AND BY-LAWS

Of the

LABRAE ATHLETIC CLUB

ARTICLE I­ "TITLE"

This organization shall be known as the "LaBrae Athletic Club, Inc."

ARTICLE II­ "OBJECTS"

Sec. 1­The object of this organization shall be to unite all sport fans, managers and persons interested in the welfare of children in The Labrae School districts, into a group that shall strive to work for the mutual benefit of all its' members and for the improvement and increased of all sports in this area.

Sec. 2-It shall be the aim of the Labrae Athletic Club, Inc. to aid, help and to support all sports in which children of the Labrae School District participates.

ARTICLE III ­ "MEMBERSHIP AND DUES"

Sec. 1­Any person who is interested in Article II above, is eligible for membership in this organization.

Sec. 2­The dues of members shall be $1.00 per year. Dues  of all members shall be due January 1st each year regardless of the  date of entry into membership in this organization.

ARTICLE IV ­ "MEETINGS"

Sec. 1­Meetings of this organization shall be held once a Month. Meetings are to be held on the second Wednesday of each month, but this may be changed by majority vote of the members present at a meeting the month before. The place of meeting shall be decided by members at the previous meeting.

Sec. 2-Meetings shall be called to order at 8:00 PM, or as soon thereafter as a quorum is in attendance.

Sec. 3­A quorum shall consist of 2 officers and 10 members in good Standing.

Sec. 4­A Special meeting may be called by a majority vote of any regular meeting by the President and a majority of the members of his executive board, or by 25% of the membership of this  organization presenting a petition stating plainly the reason for calling a special meeting.  The signatures of the necessary 25% must be affixed to the petition.

ARTICLE V ­ "OFFICERS"

Sec. 1­The officers of this club shall be a President, Vice-President, Secretary, Treasurer and three Trustees.

Sec. 2­All officers, except Trustees, shall hold office for a period of one year or until their successor has been duly elected and installed.

Sec.  3­Trustees shall hold office for a period of 3 years, or until their successor has been duly elected and installed. They shall be elected in such a manner that one trustee will be elected each year.

ARTICLE VI ­ "DUTIES OF OFFICERS”

Sec. 1­The Executive Board of this organization shall be composed of the officers named in Article V, Sec. 2. It shall be the duty of the executive board to formulate the polices of the organization, to safeguard the property of the organization and to decide such matters as cannot be brought before the organization at its regular business meetings.

Sec. 2­The President shall preside at all meetings of this organization and at all meetings of the executive board.  He shall appoint all committees and perform such duties as may pertain to his office. He shall automatically be a member of all committees.

Sec.  3­The Vice-President, in the absence of the President, shall be  vested with the same authority as the President and shall perform the duties of that office.

Sec. 4­The Secretary shall keep a correct and impartial account of the proceedings of this organization. He shall read the minutes and  correspondence at each meeting. He shall maintain a correct roster  of members.  He shall carry on all correspondence of the organization.  He shall perform such other duties as may pertain to his office.

Sec. 5­The Treasurer shall collect all dues and other monies from the members and keep an accurate account of all receipts and disbursements.  He shall give a treasurer's report at each meeting. His records should be audited once each year or at any time the members of the executive board deem it necessary or any time a majority of the membership requests it be done. He shall perform such other duties as may pertain to his office. The Treasurer shall be bonded in the amount of $2,000.00.

Sec. 6-It shall be the duty of the Trustees to take charge of the club Property, to audit the books of the Treasurer, to  take an active interest in the club, and to perform such other duties as may pertain to their office.

Sec. 7­Any officer absent for 3 consecutive meetings, without reasonable Excuse, shall have his or her office declared vacant and same filled by election.

ARTICLE VII­ "ELECTION OF OFFICERS"

Sec. 1­Nominations for officers shall be at the regular October meeting. Elections for all officers shall be held at the regular November meeting.  Any contested race shall be voted on by secret Ballot.  Only members in good standing will be permitted to vote. Votes by proxy shall not count. Only members who have attended at least 50% of the regular meetings during the year are eligible to hold office in this organization.

Sec. 2­Installation of officers shall be at the regular December meeting and new officers shall take office January 1st of each year.

ARTICLE VIII­ "FISCAL AND OFFICIAL YEAR"

Sec. 1­The fiscal and official year of this organization shall be on January 1 st .

ARTICLE IX "AMENDING CONSTITUTION AND BY-LAWS"

Sec. 1­Amendments to the constitution or by-laws, can be added at any regular meeting after the proposed motion has been read at two meetings, and duly acted upon.

ARTICLE X ­ "OATH OF OFFICE"

Sec. 2­I ____________________________ do hereby promise that I will  faithfully perform the duties of the office to which I have been elected.  I do further promise that upon the expiration of my term of office, my resignation, or when my successor has been duly elected, I will turn over all records, equipment and property which are owned by this organization.

Sec.  1­Members must notify the secretary and the treasurer of any change in residence at the next regular meeting.

Sec.  2­During the temporary absence of any officer, the President shall appoint a member to fill the vacancy.

Sec.  3­Any member desiring to speak on a subject under consideration, must  address the chairman and cannot proceed until recognized by the chair.

Sec.  4­Roberts Rules of Order shall be authority on all questions not covered by the Constitution and By-laws.

Sec. 5­"ORDER OF BUSINESS"

1. Call meeting to order.
2. Roll call of officers.
3. Reading of minutes.
4. Treasurer's report.
5. Proposals for membership.
6. Reports of officers and committees.
7. Communications.
8. Unfinished business.
9. New Business.
10. Good of the Organization.
11. Adjournment.

Sec. 6-The club will not pay for any “all star” teams entry fee for any tournaments.

Sec. 7-The club will not pay any up front fees for any teams' end of season tournament entry fee. The club will only reimburse any manager (or Whoever has paid the up front fee) of any team who does participate in such tournaments after his or her team has played their first game.

Sec. 8-All the club's property will be put into the Labrae Athletic Club Realty Corp. and 5 trustees named to manage such property.
